IMPORTANT: The Xuvian platform operates as a secure, centralized information management system where you maintain full control over your business data. Xuvian Ventures employees and team members do not have automatic access to your confidential information unless you explicitly grant such access. All information sharing occurs through platform-controlled mechanisms that you authorize and manage.
1. ACCEPTANCE AND SCOPE OF TERMS
1.1 Agreement to Terms
By registering on, accessing, or using the Xuvian platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.
1.2 Binding Nature
These Terms create binding legal obligations between you and Xuvian. Your continued use of the platform constitutes ongoing acceptance of these Terms and any modifications thereof.

• Respond to information requests from Xuvian within 7 business days
2.2 Continuous Information Updates
You are obligated to:
• Monthly Updates: Update key metrics, financial data, team changes, and business developments within the first 5 business days of each month
• Quarterly Updates: Provide comprehensive business reviews including revised financial projections, market analysis updates, and strategic pivots within 10 business days of each quarter end
• Real-time Updates: Immediately notify Xuvian of material changes including but not limited to:
• Funding rounds or investment commitments
• Key personnel changes (C-level executives, co-founders)
• Significant partnerships or customer acquisitions
• Legal or regulatory issues
• Pivot in business model or market focus
• Intellectual property developments
2.3 Platform Engagement Requirements
To maintain active status on the platform, you must:
• Log into the platform at least twice per month
• Complete platform assessments and evaluations as requested
• Participate in educational modules and learning resources
• Respond to investor inquiries within 48 hours
• Maintain a minimum platform engagement score as determined by Xuvian
2.4 Platform as Central Information Hub
You agree to use the Xuvian platform as your primary centralized system for:
• Single Source of Truth: Maintaining all business information in one organized, accessible location
• Stakeholder Management: Managing relationships and information sharing with investors, advisors, and partners
• Due Diligence Preparation: Organizing all materials required for investor due diligence processes
• Progress Tracking: Monitoring and reporting business development across all key metrics
• Document Management: Storing, organizing, and controlling access to all business documents and materials
2.5 Information Accuracy and Verification
• All information provided must be accurate, complete, and not misleading
• You authorize Xuvian to verify information through third-party sources
• False or misleading information may result in immediate account suspension or termination
• You agree to provide supporting documentation for any claims made on the platform
3. PLATFORM DATA MANAGEMENT AND CONTROLLED SHARING
3.1 Platform-Based Information Storage
You agree to maintain comprehensive and up-to-date information on the Xuvian platform, including but not limited to:
• Business plans, pitch decks, and financial models
• Company performance metrics and KPIs
• Market research and competitive analysis
• Team profiles and organizational charts
• Product specifications and technical documentation
• Customer testimonials and case studies
3.2 Data Access and Control
• Startup Control: You retain full control over who can access your information on the platform
• Selective Sharing: You may choose to share specific information with selected investors, partners, or service providers through the platform
• Employee Access Limitation: Xuvian Ventures employees and team members do not have automatic access to your confidential business information unless you explicitly grant such access
• Platform Administration: Xuvian technical team may access data solely for platform maintenance, security, and technical support purposes
3.3 Marketing and Promotional Usage Rights
You grant Xuvian the right to use information available on the platform for marketing and promotional purposes, including:
• Success Stories and Case Studies: Using your company name, logo, business description, and achievements in marketing materials, website content, and promotional campaigns
• Testimonials and Reviews: Showcasing feedback and testimonials you provide on the platform

• Industry Examples: Using your business model or industry vertical as examples in educational content and presentations
• Media and Publications: Featuring your startup in press releases, blog posts, social media content, and industry publications
• Event Marketing: Highlighting your participation and success stories at conferences, investor events, and networking sessions
• Platform Demonstrations: Using your profile (with sensitive information redacted) for platform demos and product presentations
3.4 Marketing Consent and Control:
• Default Authorization: By using the platform, you automatically grant Xuvian marketing usage rights as specified above
• Opt-Out Process: You may opt out of marketing usage by providing written notice to legal@xuvian.com with 30 days’ advance notice
• No Individual Notification: Xuvian is not required to provide advance notice for specific marketing campaigns or usage
• Aggregate Statistics: Usage in anonymous aggregate statistics cannot be opted out as it doesn’t identify your startup specifically
• Continued Usage Rights: Marketing materials created during your platform usage may continue to be used even after account termination unless specific removal is requested

• Market analysis and trend reporting

• Anonymization Guarantee: All data used for platform enhancement will be completely anonymized with no identifying information.
• Limited Purpose: Anonymized data will be used solely for platform improvement and strengthening – not for any other purpose or shared with any third party
• No External Sharing: Anonymized data will not be shared with external parties unless you explicitly authorize such sharing through the platform
• Platform Enhancement Only: Data usage is restricted to improving Xuvian’s platform capabilities, user experience, and service delivery
• Your Control: You retain full control over sharing any identifiable information with third parties through platform features (with no identifiable information)

• Market Conditions: Service development depends on market demand, technical feasibility, regulatory environment, and business priorities
• Commercial Viability: Services will only be developed if commercially viable and strategically aligned with Xuvian’s business objectives
6.3 Preparatory Data Collection and Platform Readiness
In anticipation of potential future services, you agree to maintain comprehensive business information on the platform, including but not limited to:
• Financial Records: Complete financial statements, cash flow projections, and funding documentation
• Operational Data: Business processes, organizational charts, and operational metrics
• Legal Documentation: Corporate structure, compliance records, and contractual agreements
• Strategic Information: Business plans, market analysis, and competitive positioning

6.4 Future Service Rights and User Obligations
If and when new services are developed:
• Priority Consideration: Existing platform users may receive priority access to new services (subject to eligibility criteria)

• Additional Terms: New services will be subject to separate terms and conditions in addition to these foundational Terms

You hereby agree and warrant that all funding raised through the Xuvian platform or through investor connections facilitated by Xuvian will be used strictly for legitimate business purposes as outlined in your business plan, investor presentations, and funding proposals.
7.2 Prohibited Uses of Investor Funds
Strictly Prohibited: You shall not use any investor funds for:
Personal Expenses and Benefits:
• Personal salaries, bonuses, or compensation beyond reasonable market rates for founders and key personnel
• Personal lifestyle expenses, luxury goods, or non-business related purchases
• Personal real estate, vehicles, or other assets not directly related to business operations
• Personal travel, entertainment, or hospitality expenses
• Family member compensation for non-business activities
• Personal debt payments or financial obligations unrelated to the business
Non-Business Related Expenditures:
• Political donations or contributions to political campaigns
• Religious or charitable donations (unless specifically approved by investors and related to business objectives)
• Speculative investments unrelated to core business activities
• Excessive office amenities or luxury business facilities beyond reasonable business needs
• Entertainment and hospitality expenses that are not directly business-related

Unauthorized Business Uses:

• Reference and Testimonial Rights: Grant Xuvian perpetual rights to use company as reference and for testimonials
• Co-marketing Obligations: Participate in co-marketing activities and case study development when requested
Legal and Regulatory Risk Mitigation:
• Legal Compliance Certification: Annual legal compliance certification by qualified legal counsel
• Regulatory Risk Assessment: Quarterly assessment and reporting of regulatory risks and mitigation measures
• Litigation Disclosure: Immediate disclosure of any legal proceedings, disputes, or regulatory actions.
• Insurance Coverage: Maintain adequate insurance coverage including D&O, general liability, and cyber security insurance
• Succession Planning: Develop and maintain proper succession planning for key personnel
8. PLATFORM OBLIGATIONS AND USER RESPONSIBILITIES

You agree to:
• Lawful Use: Use the platform only for lawful business purposes and in compliance with all applicable law
• Accurate Information: Provide truthful, accurate, and complete information at all times
• Account Security: Maintain the confidentiality and security of your account credentials
• Prohibited Activities: Not engage in any activities that could harm the platform, other users, or Xuvian’s reputation
• Compliance: Adhere to all platform policies, guidelines, and usage requirements
8.2 Prohibited Conduct
The following activities are strictly prohibited:
• False Information: Providing misleading, inaccurate, or fraudulent business information
• System Abuse: Attempting to circumvent platform security measures or access unauthorized areas
• Intellectual Property Violation: Uploading content that infringes third-party intellectual property rights
• Harmful Content: Sharing malicious software, viruses, or other harmful code
• Competitive Intelligence: Using the platform to gather intelligence on competitors through false pretences
• Spam and Abuse: Sending unsolicited communications or engaging in abusive behavior toward other users
8.4 Restriction on Competitive Use and Unauthorised Replication
• Non-Engagement by Competitors: You may not access or use the Xuvian platform if you are, directly or indirectly, engaged in the development, operation, or management of a business, product, or service that is substantially similar to or competitive with Xuvian, unless expressly authorized in writing by Xuvian.
• Prohibition on Replication and Misuse of Proprietary Information: If you are engaged with Xuvian in any capacity—whether as a user, consultant, advisor, contractor, or employee—you agree not to reproduce, replicate, reverse-engineer, or otherwise use any part of the platform, including its proprietary technology, workflows, business logic, designs, or content, for any commercial or competitive purpose without the prior written consent of Xuvian.
• Enforcement and Remedies: Any breach of the above terms will be considered a material violation of these Terms & Conditions. Xuvian reserves the right to take any legal or equitable action it deems appropriate, including but not limited to suspension or termination of access, injunctive relief, and pursuit of damages or other remedies available under applicable law.

• Monitoring Rights: Xuvian reserves the right to monitor platform usage for compliance and security purposes

• Enforcement Actions: Right to suspend, restrict, or terminate accounts for policy violations
• Reporting Mechanism: Users may report violations or suspicious activities through platform interfaces
8.5 Consequences of Violation

• Temporary suspension of platform access and services
• Permanent account termination and loss of all platform benefits

• Maintain a response rate of 90% or higher to platform communications

Non-compliance may result in:

• Service limitations including restricted investor access
• Account suspension for repeated violations
• Account termination for material breaches
• Financial penalties as specified in service agreements
10. DATA OWNERSHIP AND INTELLECTUAL PROPERTY

• You retain ownership of your underlying business information
• Xuvian obtains comprehensive usage rights as specified in these Terms
• Enhanced data (analytics, insights, benchmarks) created by Xuvian remains our intellectual property
10.2 Platform-Generated Content
Reports, analyses, and insights generated by Xuvian algorithms become our intellectual property

• No guarantee of funding success, investor interest, or business outcomes
