By engaging with Xuvian (“we,” “our,” or “us”), you agree to these Terms and Conditions. This document establishes a comprehensive framework for our professional relationship, detailing our service offerings, mutual obligations, and the terms that govern our engagement. These terms are designed to ensure clarity and protect both parties throughout our business relationship.
2. Our Services
We provide a comprehensive suite of services designed to support startups at various stages of their growth journey. Our Current Assessment service delivers an in-depth evaluation of your startup’s potential, combining thorough market opportunity analysis with rigorous business model validation. This foundational service helps establish a clear understanding of your venture’s current position and future potential.
Through our Consulting Services, we work closely with your team to develop robust business strategies, optimize your product offerings, and create effective go-to-market approaches. This collaborative process leverages our extensive experience in startup development to enhance your business fundamentals and market positioning.
Our Venture Readiness Assessment provides a detailed evaluation of your investment preparedness, identifying any gaps in your business model or operations. We then develop a customized improvement roadmap to address these gaps and strengthen your investment proposition. This service is crucial in preparing your venture for successful fundraising.
The Pitch Refinement and Fund-Raising service focuses on optimizing your pitch materials and developing a compelling narrative that resonates with potential investors. We help formulate comprehensive funding strategies that align with your business objectives and market conditions. This includes detailed guidance on presentation techniques and investor communication strategies.
Our Strategic Investor Matchmaking service facilitates connections with appropriate investors through careful identification and strategic introductions. We actively manage these relationships to ensure productive engagement and optimal outcomes. This service extends beyond simple introductions to include ongoing support throughout the investor relationship development process.
The Deal Facilitation support encompasses guidance throughout the investment process, including term sheet review, agreement optimization, and protection of founder interests. While we do not provide direct legal advice, we offer valuable insights based on our extensive experience in startup fundraising.
3. Fee Structure
Our engagement is structured with a transparent and straightforward fee model that aligns our interests with your success. The monthly engagement fee is set at INR 1,000, payable at the beginning of each calendar month. This fee demonstrates commitment to the process and helps maintain consistent engagement quality. The monthly fee is non-refundable but will be adjusted against the success fee upon successful funding.
Upon successful fundraising, a flat success fee of 3% of the total funds raised becomes payable. This success fee is due within seven days of receiving the funds, and the accumulated monthly fees will be deducted from this amount. For example, if you raise INR 1 crore after working with us for four months, the success fee would be INR 3 lakhs, minus the INR 4,000 paid in monthly fees.
Our engagement typically begins with a three-month period, during which we closely monitor progress and evaluate funding readiness. At the end of this period, we conduct a comprehensive review to determine the best path forward. The engagement may be extended based on mutual agreement and the achievement of established milestones.
4. Data Access and Reporting
To ensure effective service delivery, we require comprehensive access to your business information and regular reporting of key metrics. You will need to provide quarterly reports containing complete financial statements, legal documentation updates, compliance certificates, and detailed business updates. These reports must be submitted within fifteen days of each quarter’s end.
You are required to maintain current records of your cap table, shareholding pattern, corporate filings, regulatory compliance documents, material contracts, employee agreements, and intellectual property rights. All financial data must adhere to accepted accounting standards, and legal documents must be properly executed and current.
5. Investor Relations
We maintain the authority to share periodic reports with potential investors, including performance analytics and consolidated progress updates. This information sharing is crucial for effective investor engagement and fundraising success. We take great care to present your information professionally and protect sensitive details appropriately.
6. Marketing Rights and Intellectual Property
Our agreement includes perpetual rights to use your company information for marketing purposes, including success stories, portfolio statistics, and case studies. We may document your transformation journey and use your logo and brand elements in our marketing materials. You retain ownership of your original content, while we maintain ownership of our materials and advice.
7. Confidentiality
We maintain strict confidentiality standards regarding your business information. Our security measures protect your confidential information according to industry best practices. You are similarly obligated to maintain confidentiality regarding our processes and methodologies.
8. Service Conditions
Service delivery begins upon receipt of your first monthly payment and includes a 30-day initial assessment period. We provide full access to all core services and maintain regular progress reviews throughout our engagement. Service continuation depends on timely payment of monthly fees, compliance with reporting requirements, and active engagement in the process.
9. Termination
Either party may terminate this agreement with written notice. Upon termination, any outstanding monthly fees remain payable, and no refunds will be issued for paid monthly fees. If funding occurs within twelve months of termination, the success fee remains applicable. Our marketing rights continue post-termination, and confidentiality obligations survive indefinitely.
10. Governing Law
These terms are governed by the laws of India and are subject to the exclusive jurisdiction of the courts in Bengaluru, India. Any disputes arising from these terms will be resolved according to Indian law through the appropriate legal channels in Bengaluru.
